Tax & e-invoice — important
The merchant is responsible for reviewing its data and applicable tax obligations. JSONIC is a software/technical-connectivity tool, not a tax agent, does not choose tax treatment, and Support does not edit merchant business data on the merchant’s behalf.

JSONIC POS TERMS OF SERVICE

These Terms apply to all JSONIC POS accounts and plans, including Free, Basic, Advanced, add-ons, trials/pilots and future features unless a separate written agreement states otherwise.

IMPORTANT TAX & E-INVOICE SUMMARY: The merchant/customer remains responsible for the truthfulness, accuracy and lawfulness of transaction data, goods/services information, tax classification and tax obligations applicable to that merchant. JSONIC is a software/technical-connectivity tool, not a tax agent and does not decide a merchant’s tax treatment. JSONIC Support/Engineering only explains product operation and does not edit merchant orders, revenue, Tax Corrections or e-invoice business data on the merchant’s behalf. JSONIC warnings/preparation data do not replace the merchant’s own review or appropriate tax/accounting advice. These limitations apply only to the extent permitted by law and do not exclude mandatory liability for loss caused by JSONIC itself where the law does not permit exclusion.

1. Service scope

JSONIC POS provides retail and store-operations software, which may include products/services, orders, inventory, staff, reports, tax data, electronic invoicing, Cloud synchronization and third-party integrations.

The Tax/E-Invoice Core is a shared JSONIC capability. Making the required invoice/tax input fields available on Free does not shift a merchant's tax responsibilities to JSONIC and does not make JSONIC a tax-advisory service.

2. Jsofy Account, store membership and permissions

Each person uses their own Jsofy Account. Store authority is determined by server-verified membership, role and permissions. Owners are responsible for inviting the correct people, granting least-necessary access, revoking access when staffing changes and protecting devices/accounts under their control.

JSONIC does not use an employee or manager PIN as a second identity or server-authority system. Any optional local app-lock PIN only locks/unlocks the app on that device and cannot grant or override server permissions.

Sensitive actions may be audited, including refunds/voids, price changes, tax-classification changes, Tax Corrections, permission changes, inventory adjustments and electronic-invoice actions. JSONIC does not provide a feature whose purpose is to erase the trace of recorded revenue; voids/corrections should be represented by an appropriate state/history instead of silently removing evidence of an occurred transaction.

3. Business data and accuracy

Customers retain lawful rights and interests in business data they submit and are responsible for having the right to collect, use and provide such data to JSONIC.

Customers must review the accuracy of data before relying on it for business decisions, electronic invoices, filings or legal obligations. JSONIC may perform technical validation but cannot verify physical goods, source/origin, actual business activity, tax status or events outside the system.

4. Tax and electronic-invoice responsibility

The merchant/taxpayer remains responsible for its own transactions, invoice information and tax obligations. Where applicable, the merchant must determine and verify product/service descriptions and codes, units, quantities, prices, discounts, seller/buyer information, tax identifiers, business-location information, tax classification, tax method, applicable rate/percentage and invoice timing/correction/replacement requirements.

JSONIC is software and a technical integration layer. It can store merchant-selected configurations, reconstruct canonical sales data, identify missing fields, aggregate revenue and transmit data to supported invoice providers. JSONIC is not a tax agent, tax authority, accountant or tax adviser unless a separate future service is provided by a legally qualified party under a separate agreement. JSONIC does not independently determine a customer's tax method, tax liability, industry classification or applicable tax rate. Reference summaries/exports are preparation/reference data, not an “official tax return,” “automatic filing,” or proof that the merchant has discharged its tax obligations. JSONIC does not default an unclassified item to KCT or 0% merely to pass invoice validation, and a Catalog suggestion does not become a transaction tax classification automatically; an authorized user must actively confirm it.

Product warnings, summaries, estimates and guidance are assistance tools only. Customers must verify them and obtain advice from a competent tax authority or professional where appropriate. JSONIC does not silently treat unresolved tax classification as zero-rated or tax-exempt merely to allow invoice issuance.

To the extent permitted by law, JSONIC is not responsible for tax, penalties or assessments caused solely by false, incomplete, outdated or incorrectly classified data/instructions supplied by a customer, except to the extent liability cannot lawfully be excluded or loss is caused by JSONIC's own legally attributable fault.

When an older transaction lacks a tax classification, JSONIC allows only the authenticated Owner to add a per-line Tax Correction. The correction is appended with audit history and does not silently rewrite the original transaction snapshot. The user must review and select the classification and record a reason/basis. A later Catalog edit does not retroactively mutate historical sales. Before provider submission, JSONIC may require an explicit confirmation that the merchant has reviewed the data.

JSONIC Support/Engineering/Admin may explain product operation, technical states and troubleshooting steps, but does not enter, choose, confirm or edit merchant legal/tax/e-invoice data on the merchant’s behalf; does not choose tax classifications, create Tax Corrections, or edit merchant orders/revenue/inventory/e-invoice business data for the merchant. JSONIC’s internal Control Plane is limited to plans/entitlements, quotas, Help CMS and operational metadata; it is not a “God Mode” for overwriting merchant business data. If the merchant is uncertain about tax treatment, BLOCKED is a safe state for further verification, not an error that should be bypassed.

5. Electronic-invoice providers, signing and third parties

Electronic invoicing may depend on a valid provider account, provider package, invoice template, signing/authentication method, registration status and third-party API. JSONIC's public supported-provider list may change over time.

Provider invoice/signature fees are third-party fees unless JSONIC clearly states otherwise. JSONIC may receive partner commissions under commercial arrangements without altering the provider's responsibility for its own service.

Customers must protect provider credentials under their control and only authorize appropriate users. JSONIC is responsible for applying reasonable safeguards to credentials stored within JSONIC-controlled systems. Each party remains responsible for systems, devices and conduct under its control.

Where the law, invoice type or provider mechanism requires a seller electronic/digital signature or authentication, the signing identity must belong to the merchant or a duly authorized party. JSONIC/Jsofy does not use its own digital signature to impersonate the merchant and sign the merchant's e-invoices. Where a lawful invoice type does not require a seller signature, JSONIC may use the provider/legal no-signature mechanism rather than fabricate a signature.

JSONIC is not responsible for outages, rejected issuance, government-code delays or API changes caused entirely by a third party outside JSONIC's reasonable control, while remaining responsible for integration defects attributable to JSONIC as required by applicable law.

6. Merchant payment confirmation

Displaying a QR or bank-transfer instruction does not make JSONIC a bank or payment intermediary. In the current flow, a transfer is recorded as received only after an authorized store user checks a real banking channel or external signal and manually confirms receipt in JSONIC.

JSONIC does not use Bank Hook, does not read bank notifications and does not automatically confirm bank transactions in this flow. External payment speakers or similar devices purchased by the merchant are not JSONIC-controlled or guaranteed components.

7. Offline operation and synchronization

Many sale operations are local-first. Network loss can delay synchronization, and prolonged offline or multi-device operation may create queues/conflicts requiring reconciliation.

A plan's visible-history limit does not authorize falsification or automatic deletion of tax/e-invoice records. When JSONIC provides server-period summaries, the data source and known limitations should be surfaced.

8. Devices and infrastructure

JSONIC does not manufacture phones, tablets, POS terminals, routers, printers, cash drawers, payment speakers or the merchant's power/Internet infrastructure. Failures of those components may interrupt features, subject to mandatory legal rights.

9. Subscriptions and paid services

Paid capabilities are enabled after the applicable payment channel and JSONIC server verify entitlement. Pricing, tax, billing cycle, trial and renewal details are shown on the applicable purchase channel.

If an amount for a paid service is overdue, JSONIC may suspend the related paid service after reasonable notice/cure where practicable. Failure to renew a paid plan does not create a debt for a legitimately free feature and does not automatically authorize permanent deletion of lawful customer data.

Deleting the app/account does not automatically cancel subscriptions administered by Google Play, the App Store or another payment channel.

10. Merchant-to-consumer transactions

The merchant remains responsible for goods/services, quality, origin, warranties, refunds/returns, advertising, consumer obligations and merchant promises.

11. Lawful and safe use; prohibited conduct

Customers may use JSONIC, Jsofy Account, APIs, integrations and related infrastructure only for lawful purposes and in accordance with these Terms. A customer must not directly or indirectly, through staff, devices, automation or third parties, use the Service to:

  1. conduct, facilitate, conceal or enable sham/fictitious transactions or invoices, tax fraud/evasion, forged records, commercial fraud, money laundering or other prohibited financial/business conduct;
  2. sell or facilitate prohibited goods/services or intentionally disguise the true nature of a transaction;
  3. submit fraudulent information, unlawfully use another identity, or impersonate a person, organization, merchant, JSONIC/Jsofy or a JSONIC partner;
  4. use the Service for conduct prohibited by law concerning national security, terrorism, violence, serious threats of harm or other activity JSONIC is lawfully required to prevent under a valid competent-authority requirement;
  5. gain unauthorized access, conduct harmful intrusion attempts, distribute malware, DDoS/exhaust resources, evade rate limits/entitlements/authentication, exploit vulnerabilities outside authorized scope or defeat security/licensing controls;
  6. unlawfully collect, use, transmit or disclose personal data, trade secrets, credentials, API keys, tokens, certificates/digital signatures or data belonging to another party;
  7. infringe intellectual property, privacy, trademark, copyright or other lawful rights of JSONIC/Jsofy, customers, partners or third parties;
  8. seriously threaten, defraud, coerce or harass, or intentionally cause actual harm to JSONIC personnel, contractors, customers, systems, property or partners;
  9. use the Service in a manner creating material security, financial, legal or operational risk for JSONIC/Jsofy, other users, e-invoice/cloud/payment/app-store/identity providers or technical partners; or
  10. intentionally falsify data in order to cause JSONIC or a partner to execute an operation that does not reflect the real transaction.

Good-faith security research must follow any published vulnerability-disclosure policy and must not access others’ data or disrupt service. Good-faith complaints, bug reports, negative reviews, disputes or lawful criticism of JSONIC/Jsofy are not violations merely because they are unfavorable to JSONIC.

12. Restriction, suspension and unilateral termination

To the extent permitted by law and contract, JSONIC may limit features, disable an integration/API, suspend Cloud/e-invoice access through JSONIC, temporarily lock an account or terminate Service where JSONIC has reasonable grounds to believe the action is necessary to comply with a valid competent-authority order/request; prevent or investigate Section 11 conduct; protect JSONIC/Jsofy/users/partners from serious risk; address impersonation/fraud/attacks; honor a valid partner suspension requirement for that partner service; address serious/repeated Terms violations; or address overdue paid-service charges under the applicable agreement.

Emergency action. Where an immediate security, fraud, legal, safety or serious-harm risk exists, JSONIC may restrict/suspend first and notify afterward. JSONIC will provide notice within a reasonable period where notice is not restricted by law, investigation requirements, confidentiality duties or a competent-authority requirement.

Curable breach. For non-urgent curable breaches, JSONIC may require the customer to stop the conduct, verify identity/authority, correct configuration, remove prohibited content, remediate security or satisfy payment obligations within a reasonable cure period. Failure to cure may lead to continued restriction or termination.

Immediate termination. To the extent legally permitted, JSONIC may terminate immediately for serious fraud, fictitious transactions/invoices, attacks/intrusions/sabotage, fraudulent impersonation, repeated violations after warning, or where continued Service could cause JSONIC or a partner to breach law or a mandatory obligation.

Proportionality and data preservation. Measures should be limited to what is reasonably necessary. Suspension/termination does not automatically edit or delete transaction history. JSONIC may preserve logs, audit trails, login history, security events, transactions and technical evidence as reasonably necessary for legal hold, fraud prevention/investigation, disputes or legal obligations. Where law and security permit, JSONIC will provide a reasonable path for the Owner to export Merchant data the Merchant is lawfully entitled to access, subject to legal holds, investigations, competent-authority requirements and security constraints.

Partners and authorities. JSONIC may separately suspend an integration where continued operation could breach partner terms, law or create a concrete risk to that partner. A partner suspension does not authorize JSONIC to alter Merchant data, impersonate the Merchant or perform a legal act on the Merchant’s behalf. JSONIC may cooperate with and disclose information to competent authorities where there is a valid legal basis/request; a precautionary suspension is not itself a determination that the customer committed a crime.

13. Maintenance and service changes

JSONIC may perform maintenance, security fixes, API changes and upgrades. JSONIC will seek to provide reasonable notice for planned changes with material impact. No specific SLA applies unless separately agreed in writing.

14. Intellectual property

JSONIC/Jsofy software, UI, trademarks, documentation and developed components belong to HONG PHUOC PHU or applicable licensors. Customers receive a limited service-use right and may not unlawfully copy, resell, reverse engineer or exploit protected components, subject to mandatory legal rights.

15. Limitation of liability

To the maximum extent permitted by law, JSONIC is not responsible for the portion of loss caused by customer-supplied inaccurate instructions/data, unlawful user conduct, devices/networks outside JSONIC's reasonable control, or independent third-party failures.

JSONIC does not warrant that every tax warning, assistance report, third-party integration or network service is uninterrupted or appropriate for every legal situation.

Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited, including mandatory data-protection duties, legally non-excludable consumer rights, JSONIC's own fraud/intentional misconduct, or direct loss legally attributable to JSONIC's own fault where exclusion is not permitted. To the extent permitted by law, the Merchant is responsible for indemnifying the portion of direct third-party claims/losses arising from unlawful conduct, fraud, third-party-rights infringement or a serious Terms breach caused by the Merchant or persons acting under the Merchant's account; this does not apply to loss caused by JSONIC's own fault or liability that law does not permit to be transferred.

16. Account deletion, retention and export

Users can request account deletion through the provided flow. Certain data may be retained when legally required or reasonably necessary for invoicing/accounting obligations, fraud/security investigations or disputes. Data without a continuing lawful basis will be deleted or anonymized under the Privacy Policy.

Merchants remain responsible for retaining legally required books, invoices and exports; JSONIC should not be treated as the sole legal archive unless separately agreed in writing.

17. Consent evidence and versioning

At registration and when material Terms/Privacy changes occur, JSONIC may require explicit acceptance and store the accepted versions, timestamp, account, tenant and source for contract administration, audit and disputes. General Terms acceptance does not replace a separate consent where law requires one for a specific processing purpose.

18. Terms updates

JSONIC may update these Terms for law, security or service changes. Material changes will be communicated reasonably, and JSONIC may require in-app re-consent. Continued use will count as acceptance only where legally permitted; explicit acceptance will be requested where required.

19. Governing law and disputes

Mandatory applicable law and any specific commercial agreement (if any) govern the applicable law, dispute forum, and related B2B provisions.
